These Terms of Use (hereinafter "Terms") apply to users (hereinafter "User") utilizing Happi (hereinafter "Service") and establish the terms between the User and Happi LLC (hereinafter "Service Provider"). The User must read and accept these Terms before using the Service.
By continuing to use the Service, the User accepts the modified terms and agrees to comply with them.
The Service is designed to provide users with learning opportunities in a digital environment.
Access to and use of the Service is conditional on compliance with these Terms, as well as applicable federal and state laws and regulations.
2. Registration and User Account
The use of the Service requires registration and the creation of a user account. The User is responsible for ensuring that the information provided is accurate, complete, and up-to-date.
The User is responsible for the security of their user account and password. Usernames and passwords are personal and must not be shared or disclosed to third parties.
The right to use the service is personal and cannot be transferred.
3. Privacy and Personal Data
The Service Provider processes User's personal data according to the Service Provider's current privacy policy.
The Service Provider collects and processes information provided by the User for purposes such as offering and improving the service.
4. Payments and Pricing
The Service includes both paid and free sections. Paid services will be charged as a monthly subscription within 14 days after the user subscribes to the Service, or after a 14-day trial period, if applicable.
Prices for the use of the Service and payment terms are displayed on the final checkout page of the Service. The User accepts the pricing and payment terms at the time of subscription.
Payments must be made according to the agreed schedule. The Service Provider has the right to suspend the User's access to the Service if payments are not made on time.
5. Service Content and Changes
The Service is generally available 24 hours a day. However, the Service Provider has the right to temporarily disable the Service or part of it for maintenance, installation, modification, system overload, or similar reasons without compensation.
The Service Provider reserves the right to change and remove parts of the Service, convert free sections into paid ones, or cease maintaining the Service in part or in full.
The Service Provider reserves the right to change these Terms at its discretion.
6. User Obligations and Responsibilities
The User commits to using the Service in accordance with the law and good practice.
The User must not upload, share, or promote illegal, offensive, racist, threatening, or otherwise harmful content within the Service.
The User is responsible for their own hardware and internet connection necessary for using the Service.
The User commits to keeping the information contained in the Service confidential, refraining from sharing or disclosing it to third parties.
The User agrees to abide by these Terms, other rules and guidelines related to the use of the Service, as well as the law and good practice. The User also agrees to comply with any rules and guidelines set forth elsewhere in the Service.
The right to use the service is personal, and the User agrees not to transfer it to others.
7. Materials in the Service and Intellectual Property Rights
The Service and Content are the property of the Service Provider or its partners, protected by copyright laws and international copyright agreements. All intellectual property rights (including copyrights, registered and unregistered trademark and design rights, domain names, patents, database rights, and trade secrets) belong to the Service Provider or its partners. All rights reserved.
The User is granted a limited, non-exclusive right to use the content of the Service for personal learning and education.
8. Limitation of Liability
The Service Provider is not responsible for any interruptions, defects, or data losses that may result from the use of the Service.
The Service Provider is not responsible for services or content offered by third parties to which the Service may contain links.
9. Right to make changes to these Terms and Conditions
We will update these Terms and Conditions from time to time. The updated version will be indicated by an updated “Revised” date and the updated version will be effective as soon as it is accessible. If we make material changes to these Terms and Conditions, we may notify you either by prominently posting a notice of such changes or by directly sending you a notification. We encourage you to review these Terms and Conditions frequently to be informed of how we are protecting your information.
10. Termination of Agreement
The User has the right to terminate this agreement at any time by discontinuing the use of the Service.
The Service Provider has the right to terminate this agreement and block the User's access to the Service if the User violates these Terms.
If the Service Provider suspends or terminates the service according to these terms, the Service Provider is not obligated to refund any fees paid by the User or provide any other compensation.
11. Applicable Law and Dispute Resolution
These Terms are governed by the local United States laws, excluding its choice of law provisions. The parties will primarily seek to resolve any disputes arising from or related to these Terms through negotiation. If negotiations do not result in a settlement, disputes will be resolved in a federal or state court located within the United States. A consumer user may also bring a dispute related to a contract concluded with an outside trader in a federal or state court. Before bringing a matter to court, consumers are advised to contact their local consumer protection agency.
